Groovedesk subscription terms

The agreement for using the Groovedesk application.

Who these terms are between

These terms are an agreement between 9516-8555 Québec Inc. (Mega Labs Industries), 1619 William, Suite 201A, Montreal, QC H3J 1R1, Canada, and the company whose workspace is being set up. If you are activating a workspace, you are agreeing on that company’s behalf and confirming you are allowed to.

They cover the Groovedesk application and the subscription that pays for it. They are a different document from the website and waitlist terms, which cover joining the waitlist and using this site. Where the waitlist terms refer to “the Groovedesk application terms in effect when you activate your workspace”, this is that document.

Groovedesk is a tool for businesses. These terms are written for a company buying software for its team. That does not decide whether consumer protection law applies to any particular purchase, and where it does apply, it applies regardless of what this document says.

Workspaces, seats and who pays

Work in Groovedesk happens inside a workspace, which belongs to a company rather than to a person. One subscription covers one workspace.

People in a workspace hold one of four roles. Owners, admins and members are paid seats. Guests are free, and are meant for people outside your team who need limited access to particular work.

The person who activates a workspace enters the payment details and is billed. Teammates who join a workspace someone else set up are never asked for a card.

You can add and remove seats at any time. Changes appear on your next invoice; we do not charge you part-way through a month for adding someone. Invitations you have sent but nobody has accepted, and memberships nobody has verified, are not billed at all.

Free trials

New workspaces start with a free trial. No charge is made during it, and the card you enter at activation is not billed until it ends.

  • 14 days for an ordinary signup.
  • 30 days if you joined the Groovedesk waitlist before launch with the email address you use for Groovedesk.
  • Plus 14 days for each qualified referral, up to three referrals, so up to 42 extra days and 72 trial days in total.

The trial begins when you activate your company workspace, not when you join the waitlist or create an account. Referral extensions earned before activation are added automatically and need no code.

A promotional code can also grant a 30-day trial and skip the waitlist. A card is still required. Where a code and a waitlist place would both apply, the longer of the two trials applies; they are not added together.

Referral extensions have limits worth knowing. A referral qualifies when the person you referred joined the waitlist through your link before November 4, 2026 and then creates a Groovedesk account with the same email address before January 1, 2027. Both deadlines fall at the start of the day, Eastern time. Your referral link stops counting new waitlist signups on November 4, 2026, and days already earned stay earned. Referral days only extend a trial that is still running: once your first paid invoice has been issued, a referral that qualifies later adds nothing. Earned days are added automatically, there is no code to enter, and they have no cash value and are never refunded.

Seven days before the first charge we email the owner with the date, the seat count and the amount. If your trial is extended, that email moves with it.

At the end of the trial the subscription starts and the card is charged, unless you have cancelled before then.

Beta workspaces

If your workspace was part of the Groovedesk beta, it has a free-until date rather than a trial, because the beta was the trial.

  • The default free-until date is November 4, 2026. Some workspaces have a later date set individually. The owner sees the date for their own workspace in the app.
  • You are never charged before the free-until date shown for your workspace. If you add a card before that date, the first charge cannot happen before it.
  • If you add a card less than seven days before your free-until date, we move the first charge later so that at least seven days pass between adding the card and the first charge. The app shows you the actual first-charge date before you enter your card, and we send our usual reminder seven days before that charge.
  • After that date, a workspace with no card shows a 14-day warning asking the owner to add one. For the default date that is November 4 to November 18, 2026.
  • If you add a card on or after your free-until date, the current seats can be charged immediately, at the launch price if the offer is still open.
  • After the warning the workspace is locked until a card is added.
  • A locked workspace is not a deleted one. Your work stays exactly where it is. Add a payment method and it unlocks.

Price, and what happens when it changes

Groovedesk is 40 USD per paid seat per month, billed monthly in US dollars, before any tax that applies where you are.

Early customers pay a launch price of 30 USD per paid seat per month. That price is available while we are still offering it, and it closes to new signups without notice. If you are already on it, you keep it until we tell you otherwise.

We will give you at least 30 days’ notice by email before any price change takes effect, including a move from the launch price to the standard price. If you do not want to continue at the new price, cancel before it starts and you will not be charged it.

Renewal, cancellation and refunds

The subscription renews automatically each month until you cancel. That is how it keeps working; there is nothing to remember.

You can cancel yourself, in the app, at any time. You do not have to email us or explain. Cancelling stops the next renewal and your workspace keeps working until the end of the period you have already paid for.

We do not give partial refunds for time left in a period you have paid for. If you cancel on day three of a month, you keep the rest of that month. Coming back later is an ordinary checkout, not a special process.

Deleting a workspace is different and immediate. The owner can delete a workspace at any time, including while it is locked because a payment failed. Deletion ends the subscription there and then, with no refund for the rest of the period, and it is not reversible in the way cancelling is. The app asks you to confirm because of that.

Onboarding services

We sometimes help a team get set up: migrating what you already have, configuring the workspace, training people. That is separate from the seat subscription and is never bundled into it.

There is no fixed price list. We talk first, then quote for the work described, with a deposit before we start. Those services are invoiced on their own and cancelling a subscription does not cancel work already agreed, or the other way round.

If a payment fails

Our payment provider retries the charge over about two weeks and emails you each time. Your workspace stays open and usable throughout, with a banner telling you what is wrong.

If those retries are exhausted, the workspace is locked rather than deleted: people cannot use it, and nothing in it is removed. Access returns as soon as the payment goes through.

We will not delete a workspace for non-payment. Refunds and disputes are handled by a person, so write to us rather than working through a form.

Your content

What your team puts into Groovedesk stays yours. Releases, tasks, files, artist records, plans, notes: we do not claim ownership of any of it.

You give us permission to store, copy, process and display that content for one purpose: running Groovedesk for you. That permission covers the ordinary mechanics of a hosted service, including backups and the providers listed in our privacy notice. It ends when the content does.

You are responsible for having the right to upload what you upload, and for what your team puts in. Do not put content in Groovedesk that you are not allowed to hold or share.

Feedback you give us about the product is ours to use in building Groovedesk. We will not attribute it to you publicly without asking.

Using Groovedesk properly

Do not attack, scrape or overload the service, work around its access controls or usage limits, resell access, or use it to store content that is illegal where you are. Do not share seat credentials: a seat is for one person.

Groovedesk’s software, brand and materials remain ours. Nothing here transfers them to you.

We can suspend or close a workspace that breaks these terms. Except where the breach is serious enough that we cannot wait, we will tell you first and give you a chance to put it right.

The AI features

Groovedesk can generate marketing plans and transcribe dictation. Both run only when someone asks for them.

What they produce is yours to use. Treat it as a starting point rather than a finished plan: these features are built on third-party models, they can be confidently wrong, and they are not advice. Check anything you are going to act on. We are not responsible for a decision made on generated output nobody checked.

Our privacy notice names the providers involved and explains what reaches them.

Your data

Our privacy notice explains what we collect, who handles it, where it goes and how long we keep it.

For the work your team puts inside a workspace, your company decides and we act on its instructions. If you need a written data processing agreement for that, ask us and we will provide one.

If your subscription ends, tell us if you want a copy of your workspace content and we will arrange it. Ask before the workspace is deleted; once it is gone we cannot recover it for you.

Availability and support

We aim to keep Groovedesk running and to fix problems quickly, and support is by email at contact@groovedesk.io.

We do not promise a particular uptime figure or response time, because we would rather not promise one than publish one we cannot keep. If that changes, it will be written here.

What we promise, and what we do not

We provide Groovedesk with reasonable skill and care. Beyond that it is provided as it is: we do not guarantee it will be uninterrupted or error-free, that it will fit a particular purpose you have in mind, or that any specific feature will be built or kept.

Keep your own copy of anything you cannot afford to lose. We take backups and describe them in the privacy notice, but they are our safety net for running the service, not a substitute for yours.

Liability

We are not responsible for indirect or incidental losses, lost profits, lost data where you could reasonably have kept your own copy, or losses caused by something outside our reasonable control.

Where our liability can be limited, it is limited to what you paid us in the twelve months before the event.

Two limits on that, which we cannot and do not try to exclude. Nothing here limits our liability for bodily or moral injury, or for intentional or gross fault, because Quebec law does not permit it. And nothing here removes rights you have under consumer protection law where you live.

Ending these terms

You can stop using Groovedesk at any time by cancelling. We can end these terms if you break them and do not put it right, or if we stop offering Groovedesk, in which case we will give you reasonable notice and a chance to get your content out.

The sections on your content, liability and governing law survive the end of these terms, as far as they need to.

Changes to these terms

We can update these terms. If a change materially affects what you pay, what you get, or your rights under them, we will email you at least 30 days before it takes effect. Continuing to use Groovedesk after that means the updated terms apply. If you would rather not accept them, cancel before they start.

Each version stays available at its own address, listed below with the date it took effect. When you accept these terms, we record the date and time, so that date shows which version you agreed to.

Governing law

If part of these terms cannot be enforced, the rest still applies.

These terms are governed by the laws of Quebec and the applicable federal laws of Canada, and disputes go to the courts of the judicial district of Montreal. If the law where you live gives you the right to bring a claim locally, or to rely on your own consumer protection rules, this does not take that away.

A French version of these terms is available at groovedesk.io/fr/app-terms. If you are in Quebec, you are entitled to be shown the French version before agreeing to the English one.
